Terms of Service

Version 2026-10-10-draft · Questions: support@euphrate.app

These Terms of Service ("Terms") govern access to and use of the Euphrates platform (the "Platform"), operated by Hachem LLC ("Euphrates," "we," "us"). By creating an account, you agree to these Terms. If you do not agree, do not create an account or use the Platform.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Platform. If you register on behalf of a company, you represent that you are authorized to bind that company to these Terms. A Carrier account represents that the individual or entity operating it is legally permitted to engage in commercial motor carriage under applicable law.

2. What Euphrates Does

Euphrates operates the Platform, on which companies seeking to ship freight ("Shippers") and owner-operators and motor carriers ("Carriers") find each other, exchange load information, agree rates, and track and document a shipment from pickup through delivery. Euphrates checks Carriers before they may bid (Section 7). For a load paid through Euphrates, it collects the Shipper's payment when the load is awarded, holds it, and releases it to the Carrier after delivery (Section 5).

Euphrates is not the motor carrier. It does not transport property, does not take possession of freight, and does not take on a Carrier's liability for loss of, damage to, or delay of cargo. The Carrier awarded a load is the motor carrier for that load. Euphrates is not a freight forwarder.

Broker authority. Property broker authority from the Federal Motor Carrier Safety Administration ("FMCSA") has not yet been granted for Euphrates. It is being obtained, and Euphrates will not collect or hold payment for any load until FMCSA has granted it.

3. No Agency

Euphrates is not the agent or representative of any Shipper or Carrier for negotiating, accepting, or forming a contract for the transportation of property, and has no authority to bind either of them to one. The Shipper decides whether to award a load; the Carrier decides whether to bid on it or book it.

4. The Transportation of a Load

When a Shipper accepts a Carrier's bid on the Platform, or a Carrier books a load at the rate the Shipper offered (an "Award"), the Carrier agrees to transport that load for that rate and the Shipper agrees to pay it. The Carrier is responsible for the transportation and, as the motor carrier, for the cargo while it is in the Carrier's care, including under 49 U.S.C. § 14706. Euphrates does not guarantee the Carrier's performance. The freight rate is the rate the Carrier bid, or the Shipper offered, and the Shipper accepted; Euphrates does not set it.

A claim for loss of, damage to, or delay of cargo is between the Shipper and the Carrier (and the Carrier's insurer). Euphrates is not a party to it and does not decide who is at fault. Euphrates keeps the record of the load — the Bill of Lading, the signatures, the photographs, the check-ins and the position and temperature readings — and makes it available to both the Shipper and the Carrier.

5. Freight Charges and Payment

For a load paid through Euphrates, the Shipper pays Euphrates when the load is awarded: the freight rate, the Platform Fee (Section 6), a deposit, and the processing cost of the payment method the Shipper chooses, each shown before the Shipper confirms the Award. Euphrates holds that payment. Payments are processed by Stripe; Euphrates does not see or store card or bank account numbers.

After delivery, Euphrates releases the freight rate to the Carrier, with any detention or accessorial charges recorded on the load, and returns the deposit to the Shipper, once the receiver signs for the freight, or seven days after delivery if nobody signs, unless a reported problem holds it as described below. The Carrier is paid the whole agreed rate; nothing is deducted from it for Euphrates. If a Carrier backs out and the Shipper cancels the load, the payment held for it becomes the Shipper's credit, which the Shipper may use on a later load or withdraw.

Payment held; Euphrates as witness. When the receiver notes exceptions on the delivery Bill of Lading, or the Shipper reports a problem with the cargo within two business days of delivery, Euphrates holds the freight charges for that load only, and never offsets them against another load. The Shipper and the Carrier each put photographs and their account on the record; the Carrier has five business days from being told. Euphrates keeps the complete record and gives it to both of them and to the Carrier's insurer. Euphrates is not a party to the claim and does not decide it. The held charges are released as the Shipper and the Carrier agree in writing on the Platform, when the Shipper withdraws the dispute, as the Carrier's insurer or a court or arbitrator determines, or to the Carrier sixty (60) days after the claim was reported if none of these has happened. A Carrier may also ask for a load's payment to be held over money it is owed, with supporting paperwork. The window for reporting decides only whether the payment is still held: it does not shorten the time a Shipper has to bring a cargo claim against the Carrier under federal law, and the release of the charges does not end that claim.

Damage found later; claims. Damage that could not be seen at delivery may be reported on the Platform within five (5) days of delivery; the Shipper should keep the freight and its packaging until it has been inspected. A Shipper may file a cargo claim against the Carrier on the Platform for nine (9) months after delivery, stating the amount claimed with proof of value. The Carrier answers on the Platform: it acknowledges a claim within thirty (30) days and pays, declines or makes an offer within one hundred twenty (120) days, with a written status every sixty (60) days after that, as 49 C.F.R. Part 370 provides. Euphrates keeps the record and the dates, may send the record to the Carrier's insurer with both parties copied, and does not decide the claim.

A load that is not paid through Euphrates is paid directly between the Shipper and the Carrier, on terms they agree, and Euphrates does not collect, hold or guarantee that payment. Until FMCSA grants Euphrates' broker authority, no load is paid through Euphrates.

6. Platform Fees

Euphrates' fee for a load (the "Platform Fee") is paid by the Shipper and shown before the Shipper awards the load. It is not a percentage of the freight rate and is never deducted from the Carrier's rate. Any other fee Euphrates charges is disclosed before it is charged.

7. Carrier Checks; Who Chooses the Carrier

Euphrates checks a Carrier before it may bid — its documents, its FMCSA operating authority and safety record, and its insurance — and may refuse, hold or suspend a Carrier that does not pass. It may also hold a load at pickup when the driver or truck that arrives does not match the one awarded. These checks record what each source said when it was read. Euphrates does not certify any Carrier's safety, authority or insurance, and does not insure any load.

The Shipper decides which Carrier is awarded a load, by accepting a bid or by offering the load at a rate any eligible Carrier may book. Euphrates does not direct how a Carrier drives, routes or operates its vehicle, and does not employ or supervise any Carrier's drivers.

8. Shipper and Carrier Representations

Each Carrier using the Platform represents and warrants, on an ongoing basis, that it: (a) holds all operating authority required by applicable federal and state law to lawfully transport the property it accepts for transportation, including valid FMCSA motor carrier operating authority where required; (b) maintains cargo and liability insurance sufficient to cover the property it transports; (c) will not use the Platform to re-broker, re-assign, or subcontract a load to another carrier without the Shipper's express consent; and (d) is not currently subject to an FMCSA out-of-service order or operating authority revocation.

Each Shipper using the Platform represents and warrants that it has the right to tender the property described in each posted load for transportation, and that the information provided about that property (weight, commodity, hazmat status, and value) is accurate.

9. No Holding Out

No Shipper or Carrier may represent, advertise, or hold out Euphrates — to each other, to a customer, to a regulator, or to the public — as the motor carrier of any load, as a freight forwarder, insurer, or guarantor of any transportation service performed using the Platform, or as holding operating authority, a bond, or an MC number that FMCSA does not show it holding.

10. Acceptable Use

You agree not to: post false or misleading load or bid information; use the Platform to facilitate an unlawful shipment; attempt to circumvent the security of the Platform or access another user's account; or use the Platform in a way that violates any applicable law, including FMCSA regulations governing motor carrier and broker operations.

11. Intellectual Property

The Platform, including its software, design, and content (excluding load data and documents you submit), is owned by Euphrates and protected by applicable intellectual property law. You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose. Documents you generate through the Platform (Bills of Lading, load postings, messages) remain yours; Euphrates may retain and process them as described in its Privacy Policy.

11a. For-Sale Listings

Members may list items for sale (equipment, parts, pallets, surplus freight) on their public profile and the For sale board. Listings are the member's own statements. Euphrates does not inspect, hold, ship, insure or warrant listed items, does not process payment for them, and is not a party to any resulting sale. Euphrates only forwards a buyer's question to the seller by email. You are responsible for the accuracy and legality of what you list, and for any transaction that follows.

11b. Freight Brokers

A member registered as a freight broker represents that it holds active FMCSA broker operating authority and the required surety bond or trust fund (BMC-84 or BMC-85), and agrees to keep both in force while using the Platform. A broker may post loads on behalf of its customers and may quote on loads posted by shippers; in each case the broker, not Euphrates, is the contracting party. A broker may not quote on a load posted by another broker. A broker is solely responsible for vetting, contracting with and paying any carrier it engages, and for naming that carrier to the shipper before pickup, except that for a load paid through Euphrates, Euphrates releases the payment it holds as described in Section 5. Euphrates may suspend posting and quoting for any broker whose authority FMCSA reports as inactive.

12. Privacy

Euphrates' collection and use of personal information, including location data shared while a load is active, is described in the Privacy Policy. By using the Platform you consent to that collection and use.

A Carrier agrees that, while performing a load awarded through the Platform, the position of the vehicle carrying it may be shared with Euphrates and with the Shipper of that load — from the Carrier's electronic logging device (ELD) or telematics provider where one is connected, or from the Carrier's device through the Platform — until delivery is signed off. Sharing position between loads is optional and, where enabled, is shown to Shippers rounded to approximately one mile. A Carrier may withdraw between-loads sharing at any time from the dashboard.

12a. Text Messages and Calls

If you give us a mobile number, Euphrates may send you text messages and place calls about your own account and your own loads. These are operational messages, not marketing: security alerts — for example, when a pickup facility reports that the driver who arrived is not the driver assigned to your load — and one-time codes used to verify your number.

We never send promotional or marketing texts, and we do not sell, rent or share your mobile number with anyone for their own messaging. Message frequency varies with activity on your account. Message and data rates may apply.

Reply STOP to any message to stop receiving texts, or HELP for help. Opting out does not close your account, and we will still reach you by email and in the app — but an urgent alert about your freight may reach you more slowly. See the Privacy Policy for what we do with the number itself.

13. Disclaimer; Limitation of Liability

Euphrates is not the motor carrier and does not take on any Carrier's liability for loss of, damage to, or delay of cargo; that liability stays with the Carrier. Euphrates is not a party to a cargo claim between a Shipper and a Carrier and does not decide fault. Its part is to hold that load's payment as described in Section 5 and to keep and provide the record of the load. To the maximum extent permitted by law, Euphrates is not liable for: the acts, omissions, safety record, timeliness, or authority status of any Carrier or Shipper; loss of, damage to, or delay of cargo; or any dispute between a Shipper and a Carrier arising from a load awarded through the Platform.

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EUPHRATES' TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED [amount / the Platform Fees you paid in the preceding twelve months]. EUPHRATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. [Standard limitation-of-liability and mutual indemnification language belongs here — this needs general commercial counsel's review alongside the transportation-specific sections above, not just a transportation attorney's.]

14. Termination

Either party may stop using the Platform at any time. Euphrates may suspend or terminate an account for violation of these Terms, non-payment of Platform Fees, or upon expiration/revocation of a Carrier's operating authority or insurance. Sections that by their nature should survive termination (including Sections 2–9 and 13) survive.

15. Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. [Dispute resolution mechanism — arbitration clause vs. venue selection — is a business preference, not something to default without input; fill in once decided.]

16. Changes to These Terms

Euphrates may update these Terms from time to time. Material changes will be noted by an updated version identifier at the top of this page. Continued use of the Platform after a change takes effect constitutes acceptance of the revised Terms.
